Alternative investment fund with a predominant type of “Other” and an investment strategy of “Infrastructure Fund” in accordance with Annex IV to Commission Delegated Regulation (EU) No 231/2013 of 19.12.2012 supplementing Directive 2011/61/EU of the European Parliament and of the Council with regard to exemptions, general operating conditions, depositaries, leverage, transparency and supervision.
The Fund is established as a joint-stock company in accordance with the Commercial Act, with its registered office and management address: 117 Todor Aleksandrov Blvd., Sofia 1303, and is registered in the Commercial Register and the Register of Non-Profit Legal Entities at the Registry Agency with UIC 207632773. The capital of the company is divided into two classes – ordinary and preferred shares, with only preferred shares with ISIN BG1200001243 being available to investors. The Alternative Investment Fund will invest, aiming to achieve higher growth and profitability in conditions of high risk. The fund will invest in infrastructure projects and companies with ESG focus, related to the construction of wind and solar parks, water treatment plants, hydroelectric power plants, as well as any other investment that is reasonably related to the so-called “green efficiency” and produces energy or improves the well-being of the environment and climate. The fund’s investment strategy is related to investments in shares and units of public and non-public companies, investments in venture capital, investments in bond issues with private or public placement, investments in collective investment schemes and collective investment undertakings with the same or similar investment strategy. An important part of the fund’s investment strategy is the “ethical principle” when selecting companies and investment projects.
The fund aims to promote environmental and social characteristics, or a combination of such characteristics, and although it does not directly aim at sustainable investments within the meaning of Art. 2, item 17 of Regulation (EU) 2019/2088 of the European Parliament and of the Council of 27 November 2019 on sustainability-related disclosures in the financial services sector (Regulation (EU) 2019/2088), it will invest no less than 20% of its assets in economic activities that contribute to the achievement of sustainable objectives (Sustainable Investments). In accordance with the requirements of item 17 of the ESMA Guidelines on the names of funds using terms related to ESG or sustainability, the proportion of the Fund’s investments aimed at achieving environmental or social characteristics, in accordance with the mandatory elements of the investment strategy, will be no less than 80%.
The Fund falls within the scope of art. 8, paragraph 1 of Regulation (EU) 2019/2088, with regard to transparency obligations. Additional information on how the fund promotes environmental and social characteristics is set out in the Annex on Environmental and Social Characteristics of Concord Fund – 9 Green AD, which is drawn up in accordance with the template of Annex II to Commission Delegated Regulation (EU) 2022/1288 of 6 April 2022 supplementing Regulation (EU) 2019/2088 of the European Parliament and of the Council with regard to regulatory technical standards specifying in detail the content and manner of presentation of information in relation to the principle of no significant harm and specifying the content, methodologies and presentation of information in relation to sustainability indicators and adverse sustainability impacts, as well as the content and presentation of information in relation to the advertising of environmental or social characteristics and sustainable investment objectives in pre-contractual documents, websites and periodic reports. The said Annex is an integral part of the Information under Art. 237 of the LDCIPCI of “Concord Fund – 9 Green” AD and specifically covers the pre-contractual disclosure for the financial products referred to in Art. 8, § 1, 2 and 2a of Regulation (EU) 2019/2088 and Art. 6, § 1 of Regulation (EU) 2020/852.
The Fund is suitable only for professional investors.
The existence of “Concord Fund – 9 Green” AD is not limited in time.
